This agreement between _____________________, herein after referred to as CLIENT, and LoanAssist.com, LLC. is entered into as of _____________________.  LoanAssist.com provides a referral service that connects companies needing processing with mortgage processors.  The processors being referred to you do not work for LoanAssist.com, LLC but rather are screened sub-contractors that have an agreement with LoanAssist.com to provide processing services to LoanAssist.com's client base.  

A. Processing Fees are $400 for each loan that is closed and funded.  LoanAssist.com, LLC shall be paid a separate check out of closing proceeds for all closed files.
B. Unclosed files are subject to a fee of $200 if your processor has ordered the verifications, title, and supporting documentation and submitted the file to an investor for underwriting.  This fee may be waived at your processors option. Unwaived fee's will be invoiced and payment is due within 15 days of invoice delivery.
C. While processing loans for the CLIENT, 900# fees for verification of employment, copy, & courier/overnight fees involved with the processing of the loan will be invoiced to the CLIENT to be billed to the CLIENT for his reimbursement by the borrower.    Fees can be placed on the borrowers settlement statement unless the file does not close in which case CLIENT will be billed on a net 15 basis for payment of the invoice.
D. Either party may terminate this agreement with written notice to the other.  If either party terminates this agreement, CLIENT agrees to pay $200 for each file that CLIENT has submitted for processing, and pay the full processing fee for all loans that have closed.  Client agrees to deliver a certified check made out to LoanAssist.com for the above outlined fees in exchange for LoanAssist.com, LLC. deliverance of all CLIENTS files back to CLIENT through US Mail service as payment in full for services rendered.  Optionally, CLIENT may elect to have files returned through courier or overnight service at it's own expense.  
E.  The terms of this contract are governed under the laws of Colorado.  
F.  LoanAssist.com, LLC. and our processors agree to treat as confidential the names and information obtained about borrowers and will not sell or transfer this information to any other entity outside of LoanAssist.com, LLC. 
G. CLIENT agrees to not solicit any processor away from LoanAssist.com to work for another company.
H. CLIENT understands that they are responsible for choosing a lender, locking their borrowers rate, and for borrower contact for items missing from the borrowers file.
I. Signature of this agreement allows us to refer you to a competent processor and begin working with them right away.  Please forward the original of this document to us at the address below.  You may also fax this document to our office at 303-904-3246.
